01 / 05Challenge

Manual contract review is slow, expensive, and easy to get wrong.

Due diligence is one of the slowest, most expensive moments in any deal. Counsel ploughs through hundreds of pages per contract, hunts for missing termination clauses, mismatched indemnity language, and the kind of payment-term oddities that only show up when you compare ten agreements side-by-side.

Done by hand it takes a week per matter, and the things that get missed, a one-line auto-renewal, a buried liability cap, are the things that come back as litigation.

Nova Diligence's brief was to make that workload finish in an afternoon, without trading rigor for speed. AES-256 encryption end-to-end. AI risk detection across 20 categories with a confidence score on every flag. Key-term extraction that compares the same clause across every document in the session. And a multi-language PDF report that a partner can sign off on, not a chatbot transcript.

02 / 05Onboarding

From sign-up to first upload in under five minutes.

Onboarding is built for the lawyer who doesn't want to call IT. Sign in with a company email, set a password, verify, pick a plan, Basic, Standard, or Premium, scoped by document volume per deal, and the workspace is live.

Plans are deliberately visible up front. Basic covers small transactions and core risk detection; Standard adds foreign-language translation and advanced reporting for medium deals; Premium handles large-volume diligence with custom risk categories, multi-language support, and longer data retention.

There's a representative-user vs general-user split at signup so a managing partner can spin up access for an entire deal team in one go, without anyone touching a billing page they shouldn't.

03 / 05Build · Secure Upload

AES-256 from the dropzone to the report.

Documents enter the system through a secure upload surface. Files are encrypted with AES-256 in transit and at rest; the dashboard makes that promise the headline of the screen, not a footer link.

Two toggles sit beneath the dropzone: Custom Risk Category and Custom Key Terms. A securities team can prepend their own risk taxonomy onto the 20 built-in categories; an M&A team can add the exact key terms they need pulled out of every NDA. The defaults handle 90% of cases, the toggles handle the 10% where defaults don't.

After upload, a session is created and processing kicks off. The Session History tab shows real-time progress per session, files in flight, percentage complete, completed sessions queued for review. Files are not retained beyond the session's data-retention window.

04 / 05Risk Detection · Key Terms

Twenty risk categories, every flag traceable to its source.

Risk detection runs across 20 categories, termination, indemnity, IP assignment, liability caps, data protection, change-of-control, payment terms, governing law, and more. Every flag carries a severity tag (High · Medium · Low), the exact document and page it came from, and the surrounding clause text so a reviewer doesn't have to open the source PDF to verify.

Filters across the top let counsel narrow to High Risk only when the deadline is hours away, then sweep Medium and Low for completeness. Each flagged item exposes a description, document context, and a one-click 'Add to Report' that pipes the finding straight into the export.

Underneath, key-term extraction pulls payment terms, IP assignments, and liability clauses across every document in the session. The Compare Across Documents view lines the same clause up across every contract on one screen, the moment that turns 'I think these all match' into 'these don't match in three places, and here they are.'

05 / 05Reports & Admin

PDF reports in one click, operations on a single dashboard.

The report generator is where the workspace earns the partner's signature. Pick a session, name the report, choose a language, then toggle the sections that go in: Executive Summary, Risk Analysis, Key Terms, Original Language Excerpts, Document Appendix.

Multi-language support is real, the same session can ship reports in English, French, German, and more, with original-language excerpts preserved alongside the translation. The bottom of the screen surfaces the language breakdown of the session itself: how many documents in each language, how many risks per category, which key terms cross every contract.

The admin layer wraps the whole product, total users, documents processed, monthly revenue, active subscriptions, plus user management, role assignments, and billing-plan oversight. Operations, security, and product live on one screen. The same dashboard that runs the company runs the diligence.
